1Agreement to Terms

Welcome to Yeabla Digital. These Terms of Service ("Terms") govern your use of our website located at yeabla.com and the services we provide (collectively, the "Services").

By accessing our website or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our website or use our services.

2Our Services

Yeabla Digital provides digital solutions including but not limited to:

  • Web design and development
  • Mobile application development
  • E-commerce solutions
  • Learning Management Systems (LMS)
  • Custom software development
  • Branding and graphic design
  • Website maintenance and support

Specific terms for individual projects will be outlined in separate agreements or proposals provided to clients.

3Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information required for the project
  • Respond to requests for feedback, approvals, and content in a timely manner
  • Ensure you have the rights to any content, images, or materials provided to us
  • Make payments according to the agreed-upon schedule
  • Designate a primary point of contact for project communication
  • Review and test deliverables within the specified timeframe

4Payment Terms

The following payment terms apply unless otherwise agreed in writing:

  • Deposit: A non-refundable deposit (typically 50%) is required before work commences
  • Milestones: For larger projects, payments may be tied to project milestones
  • Final Payment: The remaining balance is due upon project completion, prior to final delivery or website launch
  • Late Payments: Invoices not paid within 14 days may incur interest charges
  • Currency: All prices are quoted in South African Rand (ZAR) unless otherwise specified

We reserve the right to suspend work on projects with outstanding payments until the account is brought current.

5Project Timeline & Revisions

Project timelines will be estimated in the project proposal. Final delivery dates are dependent on:

  • Timely provision of content and assets from the client
  • Prompt feedback and approval at each stage
  • Scope remaining unchanged throughout the project

Revisions: Most projects include a specified number of revision rounds. Additional revisions beyond the agreed scope may incur extra charges at our standard hourly rate.

Scope Changes: Any changes to the original project scope may affect the timeline and cost. We will provide updated estimates for approval before proceeding.

6Intellectual Property

Ownership

Upon full payment, you will own the final deliverables created specifically for your project, including custom designs, content, and code. However:

  • We retain ownership of pre-existing materials, templates, frameworks, and tools used in your project
  • We reserve the right to use third-party assets (fonts, images, libraries) under their respective licenses
  • We retain the right to showcase your project in our portfolio unless otherwise agreed

Client Materials

You warrant that any materials you provide (logos, images, text, etc.) are owned by you or you have the necessary rights to use them. You agree to indemnify us against any claims arising from materials you provide.

7Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the project. This includes business strategies, technical specifications, user data, and any information marked as confidential.

This confidentiality obligation survives the termination of our business relationship.

8Warranties & Support

Bug Fix Period: We provide a 30-day warranty period after project launch to fix any bugs or issues arising from our work at no additional cost.

Ongoing Support: After the warranty period, support and maintenance services are available under separate agreements.

Disclaimer: We do not guarantee specific results such as search engine rankings, traffic increases, or sales conversions, as these depend on many factors beyond our control.

9Limitation of Liability

To the maximum extent permitted by law, Yeabla Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

10Termination

Either party may terminate a project with written notice. In such cases:

  • You will be billed for all work completed up to the termination date
  • Any non-refundable deposits paid will be retained
  • We will provide you with all completed work upon receipt of final payment
  • We reserve the right to terminate if payments are significantly overdue

11Website Usage

When using our website, you agree not to:

  • Use the website in any way that violates any applicable laws
  • Attempt to gain unauthorized access to any part of the website
  • Interfere with or disrupt the website or servers
  • Use automated systems to access the website without permission
  • Transmit any malicious code or engage in any form of cyber attack

12Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of South Africa.

13Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
